Confidentiality Agreement

1. PURPOSE

You are requesting temporary access to evaluate the protected platforms solely for potential business, licensing, investment, partnership, or purchasing discussions. All access is confidential, restricted, temporary, and revocable.

2. CONFIDENTIAL INFORMATION

The protected platforms contain valuable confidential and proprietary information including software systems, AI systems, algorithms, predictive engines, machine learning methods, APIs, databases, user interfaces, source code, backend architecture, workflows, business logic, revenue models, licensing structures, marketing systems, sales funnels, and all related intellectual property.

3. NON-DISCLOSURE OBLIGATIONS

For FIVE (5) YEARS from the effective date, you agree not to:

• Disclose confidential information to any third party
• Share screenshots, recordings, notes, or summaries
• Reproduce any portion of the platforms
• Reverse engineer any software or systems
• Use confidential information to create competing products
• Assist others in creating competing products
• Train AI systems using confidential information
• Exploit discovered business opportunities without consent

4. NON-CIRCUMVENTION

You agree not to circumvent or exploit the owner's business relationships, partnerships, vendors, licensing opportunities, or contacts discovered through access to the platforms.

5. INTELLECTUAL PROPERTY OWNERSHIP

All intellectual property remains the exclusive property of the owner. You shall not reverse engineer, imitate, replicate, decompile, scrape, train models from, or create derivative works without written consent.

6. NO RECORDING / CAPTURE POLICY

Without express written consent, you shall not photograph screens, record audio/video, capture screenshots, screen-record, use AI transcription tools, scrape outputs, or use monitoring software.

7. LIQUIDATED DAMAGES & INJUNCTIVE RELIEF

Unauthorized disclosure, misuse, or circumvention may subject you to liquidated damages of ONE MILLION DOLLARS ($1,000,000) per breach event, injunctive relief, recovery of attorney's fees, and all remedies available at law or equity.

8. GOVERNING LAW

This Agreement shall be governed by the laws of the State of California. Any disputes shall be resolved exclusively in California courts.

9. ACKNOWLEDGMENT

By checking the box below, you acknowledge that:
